AMD officially
announced that it has obtained the necessary regulatory approvals, and in addition to the normal agreement conditions, all other required transaction conditions have been met, and the acquisition of Xilinx is expected to be completed around February 14, 2022.
On October 27, 2020, AMD announced the acquisition of Xilinx in an all-stock transaction valued at approximately $35 billion. After the deal closes, AMD shareholders will own 74% of the combined company and Xilinx shareholders will own the other 26%, and the boards of both companies have unanimously approved the transaction. AMD CEO Dr. Lisa Su will continue to lead the new company as CEO, and Xilinx President and CEO Victor Peng will become President of Xilinx’s business and strategic growth initiatives. At least two Xilinx directors will also join AMD’s board of directors after the transaction closes.
In fact, AMD and Xilinx have previously worked closely on deep learning projects, such as AMD using Xilinx’s deep learning solutions on the EPYC series processors. The combined AMD will have products covering CPU, GPU, FPGA, adaptive SOC, and extended software, covering frontier fields such as cloud computing, edge computing, and smart terminal equipment. AMD CEO Dr. Lisa Su once said that the acquisition of Xilinx marks that AMD will establish itself as the industry leader in high-performance computing.
